These terms are an agreement between you (the business or person using the software) and Garg Trading Co. ("we", "us"), which sells and licenses Bahi-Khata by CrossKloud (the "Software"). "CrossKloud" is the brand name of the Software. By clicking I agree, installing or using the Software, you accept these terms. If you do not accept them, do not use the Software.
1. Licence
1.1 Subject to these terms and to payment of the applicable fee, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software for the internal business purposes of the business(es) covered by your plan, on the number of computers your plan allows, for the period your plan covers.
1.2 Trial, demo or free-tier use, where offered, is licensed on the same terms, for the period and limits stated when it is offered.
1.3 We keep all rights not expressly granted to you. You get a licence to use the Software; you do not buy the Software or any intellectual property in it.
2. What you may not do
You must not:
- sell, rent, lease, sublicense or share the Software or your licence with anyone not covered by your plan;
- remove or change the CrossKloud name, logo, copyright notices or the Third-Party Notices;
- use the Software for anything unlawful, including issuing false invoices, claiming credit you are not entitled to, or evading tax;
- try to defeat any licence check or use the Software beyond the limits of your plan.
Some components of the Software are open-source and remain available under their own licences, listed in the Third-Party Notices. Nothing in these terms limits rights those licences give you over those components.
3. Fees, renewals and refunds
3.1 Fees, plan limits and renewal terms are as stated at the time of purchase on crosskloud.com/bahi-khata or in our quotation or invoice to you. All fees are exclusive of GST, which we add to the invoice at the applicable rate.
3.2 All fees, including licence, renewal, add-on and setup fees, are non-refundable once paid, except where the law requires otherwise. Please use the free demo to check that the Software suits your business before you buy.
3.3 If a renewal fee is not paid, we may stop providing updates and support. The data you created stays on your computer and remains yours.
4. Your data
4.1 The Software stores your invoices, clients, products, expenses and other records on your own computer. We do not receive, host or have access to that data unless you choose to send it to us (for example, by sharing a file or allowing a remote support session).
4.2 You own your data and are responsible for it, including its accuracy, keeping it backed up, keeping your computer and backups secure, and complying with laws that apply to the personal data of your customers held in it.

5. Tax and accounting responsibility
The Software is a record-keeping and calculation tool. It is not tax, legal or accounting advice, and it does not file returns on your behalf. You alone are responsible for the invoices you issue, the returns you file and the tax you pay. The GST and Tax Disclaimer forms part of these terms; please read it.
6. Updates and support
6.1 During your plan period we may provide updates, fixes and changes to the Software. We may add, change or remove features. Updates are installed only when you choose to install them.
6.2 Support is provided through the channels and within the hours stated for your plan. Support does not include preparing, checking or filing your returns.
7. No warranty
The Software is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Software will be uninterrupted or error-free, or that its calculations or outputs will be accepted by any tax authority or portal.
8. Limitation of liability
8.1 To the fullest extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill or data, or for any tax, interest, late fee, penalty, demand or notice raised against you, however caused.
8.2 Our total liability arising out of or in connection with the Software or these terms is limited to the fees you actually paid us for the Software in the twelve (12) months before the event giving rise to the claim.
8.3 Nothing in these terms excludes liability that cannot be excluded under applicable law.
9. Indemnity
You agree to indemnify us against claims, losses and costs arising from your use of the Software in breach of these terms or of law, including from invoices you issued, returns you filed, or data you entered.
10. Suspension and termination
We may suspend or end your licence if you materially breach these terms and do not fix the breach within fifteen (15) days of our notice. You may stop using the Software at any time. On termination you must stop using the Software; you may keep and export your own data. Sections 4, 5, 7, 8, 9 and 12 survive termination.
11. Changes to these terms
We may update these terms. The version and date are shown at the top. If a change materially affects you, the Software will ask you to accept the new version before you continue to use it.
12. Governing law and disputes
These terms are governed by the laws of India. Subject to applicable law, the courts at New Delhi have exclusive jurisdiction over any dispute arising from them. Before going to court, both sides will first try in good faith to resolve the dispute by discussion for thirty (30) days.
